help required closing a company

Just wondered if this is something that any of the cf members had done before as I'm not sure where to start.

Registered a Company name late last year / early this year and have not traded. There is myself as Director and my ex partner as Company secretary.

With her consent I added her as secretary although she has not signed anything. There are also 2 shares of £1 which are assigned 1 to each of us.

I'm sure I've gone into my reasons for this in another thread but I'm sure you can guess why I want to close it down.

How simple is it thats what I would like to know, Inland revenue contacted me in Feb to ask what I was doing etc and I said that I had registered the name early to safe guard it but that I would not be in a position to start the company proper till after the summer at least.

I've also got a 'dormant' company - so long as HMRC have had that formal notification from you, they shouldn't come pestering you for tax returns, and you might as well leave it to gather dust.

However if you really do want to kill it off, you should try browsing through the Companies House website for info. I've had a quick look and it seems like it might be quite a complex procedure, but as I don't really know what I'm looking for, I'll say no more!

It needs to be closed completely, I'm not to bothered about it being dormant I'm more concerned with the shareholder rights that are assigned to this company.

She does know about it but I'll have to pull the documents to have a look see what is there. Also have to do my own self employed tax this weekend so It will be a busy boring weekend.
